"ITV thanks her for her immense contribution to the show and for all her humour, compassion and energy.
"She has been a tremendous judge and mentor on the programme but we respect her wish to leave and wish her the very best with her future projects."
The news follows rumours Osbourne was seeking a £500,000 pay rise to take part in the fifth series.
Show producers are now short of time to find a replacement judge for this summer's series, according to The Sun. |

Ladbrokes have named the Scottish singer as the 2/1 favourite after a flurry of bets from punters. The firm had previously been accepting bets on her X Factor chances at 8/1.
Nick Weinberg, Ladbrokes' spokesman, said: "It's been one-way traffic for Lulu. In terms of the betting, she's got the X Factor."
American Idol judge Paula Abdul, who previously joined the X Factor panel as a guest in series three, is at 3/1, as is Kylie Minogue, the sister of current judge Dannii. Sharon's daughter Kelly is seen as her fourth most likely successor, with bets being taken at 4/1.
ITV announced that Osbourne had quit the talent series yesterday. However, Ladbrokes are offering odds of 5/6 on the fiery judge returning to the show.
Weinberg said: "We've lost track of the amount of times we've heard that Sharon's to quit. There's every chance it could be another stunt."

Sharon Osbourne has backed Cheryl Cole to replace her on The X Factor.
Osbourne quit as a judge on the ITV talent search last week amid rumours of clashes with Dannii Minogue and salary disputes.
The Girls Aloud singer is one of the names reportedly being lined up to step into her shoes, along with Mel B, Lulu and Charlotte Church.
Osbourne told Radio 1: "I think they will replace me. I have heard they are asking certain people. I think they are asking Cheryl Cole, who I love. There are also asking Mel B. It will be interesting and give the show a different look."
She denied reports that she left the show after bosses refused to give her a £1 million pay rise to take part in the upcoming fifth series.
She said: "Yes, I was negotiating with them over money. I asked for a ridiculous amount of money and they offered me an obscene amount of money but it wouldn't change it, because I feel it is just time to move on.
"But we are all overpaid anyway! That's why we are all spoilt brats."
Osbourne is now rumoured to be in talks to compete in the next series of Strictly Come Dancing.

Cheryl Cole has replaced Sharon Osbourne on The X Factor.
The Girls Aloud star will join Simon Cowell, Louis Walsh and Dannii Minogue on the judging panel for the upcoming series of the ITV1 talent search.
She said: "I’m so excited to be part of such a great show and although it’s scary joining a huge programme like The X Factor, it’s a massive honour to be following in the footsteps of Sharon Osbourne.
"The rest of the girls have said they’re right behind me, which is really important for me as it will be weird to be on the other side of the fence this time. So while we get started on the next album, it will be brilliant to be a judge on The X Factor."
John Kaye Cooper, ITV's controller of entertainment, said: "Cheryl is not only an amazingly successful, sassy and talented woman but, through her winning Popstars: The Rivals, has been through similar experiences to those hopefuls who want to take the X Factor crown."
Cole, 24, will join her fellow judges in London this week for the start of filming.
The X Factor returns to ITV1 later this summer.
